It depends on what the silent partner contributes.

The partners receive three kinds of returns from the partnership firm. 1) Remuneration 2) Interest on Capital and 3) Share of Profit[1]

An active person receives the remuneration from the partnership firm. Therefore, as an in-active partner, he/she cannot get the remuneration.

However, he is still entitled to share of profit and interest on capital.

Interest on capital being fixed, the question remains about what should be the share of profit?

Can we use a trademark name for another company?

If you are operating in same field of the other company, you may not use the trademarked name without prior approval of the owner. If you wish to use the said name, you can obtain NOC from the owner allowing you to associated mark with your business.

If the operating fields are different, choose applicable classes to your business and check if their mark is registered in given classes or not. If not, you can use the mark and also apply for registration.

Advertising in the Trademark Journal a stage of trademark registration process and is also a signal of acceptance of mark by the trademark registry.

The purpose of publication in the journal is to invite any opposition for the registration of the mark applied. During its publication for period of four months, a third party may raise an opposition, which will be disposed off[1] by the replies and hearing process.

Can I start an e-commerce company as a partnership firm and register my logo and firm’s name? Also, if my partnership firm name is ABC, then can a new company use the name ABC because it is a company and we are a firm?

I would discuss both scenario to choose the better.

  • Unregistered Partnership Firm or registered with RoF only:
  • In this case, the name of the firm is not secured anywhere. Any person can start a firm or company or LLP with same name. There is no restriction.
  • Firm name registered under Trademark:
  • In given case, the name is protected and therefore no company or an LLP will be allotted with this name as per rules.

So yes, if the firm name is protected through trademark registration, none can use the said name.
