Should we get another company registration for new branches open?

No. In India, there is no need to get a branch registered as a new company. As per the requirement, you can simply set-up a brand and commence the business in same company name.

Although there is no requirement for new company registration, you may require to obtain tax registration, like GST registration or other local registrations, like Shop & Establishment and PT Registration for the branch office.

Further, the branch office address must be updated as and where required.

Do I need to become a sole proprietor to become a social media marketer? I already have my sales tax ID.

If any individual is engaged in any type of commercial or business activity, he/she has already been a sole proprietor.

Sole proprietorship firm is nothing but an individual carrying business. There is no specific procedure for formation of this organisation. But, it can surely be registered, as you have already obtain sales registration.

Do small companies in India need to pay tax?

Income of even single penny is taxable for companies.

Small Companies as per Companies Act means any company other than public company whose

  • Paid up capital is not more than Rs. 50 Lakh; or
  • Turnover is not more than 5 crore.

There is no exemption for small companies in payment of Income Taxes. Hence, each small company needs to pay taxes at the prescribed tax rate.

However, the tax rate has been reduced for the companies operating at small scale.

Should I find a new name if the name I want to trademark is already trademarked by a company in the same class?

While you are referring to same class, I believe that activities are similar and you are willing to register in same country. Based on this assumption, my opinion would be following:

If a company or individual appoints a consultant to design products for them, and the company /individual invests in the IP rights, design rights, and trademarks? Is that Company/individual obligated to pay a royalty fee to the consultant?

Payment of royalties for the trademark would be mutually decided by the owner and the consultant. Normally the logo or symbols of the products are designed by the consultants. For the design, the consultant has already been paid consideration, because that was their job to do. In this case there is no need to pay royalty to them. Also, note that the value in the trademark is the “trade name or brand” created but not in the design created. However, in end, it will be the mutual agreement of parties only.

Do I need to copyright or trademark my company name I created?

If one want to protect the company’s name from others then it must be necessary to trademark it. If you have registered your company under MCA then other person will not be able to register the company or an LLP in the same name but one can take trademark on that name or use for business purpose in form of proprietorship or partnership firm. So, it is advisable to take trademark registration also.
