The MCA takes around 12-15 working days to approve the form 24 if no queries are raised. In case the Ministry raise the query then the resubmission of form is to be done addressing all the queries raised by Ministry. In this case the approval time limit will increase. Once the form is approved, Ministry will issue a notice of 30 days to public. If no reply will be received in such 30 days then the Registrar may strike off the name of the LLP.
The following is the procedure to strike off the LLP in case of LLP is defunct.
- To take an approval for strike off LLP through board meeting of all designated partners.
- Set off all assets and liabilities if any
- Close the current account of the LLP if any
File eform 24 with MCA with following attachments.
- Affidavit of all partners
- Consent letter
- Indemnity Bond of all partners
- Declaration
- Certified Nil Statement of assets and liabilities
- Declaration of no bank account or proof for closure of bank account
- Application
- Board Resolution
- Authorisation letter
- NOC from creditors if any
- Any other document as required
Once the MCA approves the form after 30 days the LLP will be strike off if no objection is received from public.
