The wholly owned company is company that is completely owned by another company and the parent company has operational and strategic control over its wholly owned subsidiaries.
However, there is no deemed provision under Companies Act which indicates that Director of holding company is also the members of the wholly owned subsidiary. A company is separate from the existence of its Director as the main characteristic of the company is having Separate Legal Entity and in case of wholly owned subsidiary the parent company own 100% shares in other company and not Director. Hence, Director of holding company cannot be considered as member of the wholly- owned subsidiary.
